Terms of Service

1. Eligibility

You must be at least 18 years old and capable of entering into a legally binding agreement.

If you are using NXCatering on behalf of a business or organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Services

NXCatering provides cloud-based catering management software that may include:

• CRM & Lead Management
• Online Ordering
• Proposal Generation
• Contracts & Electronic Signatures
• Banquet Event Orders (BEOs)
• Kitchen Production
• Inventory Management
• Recipes & Costing
• Scheduling
• Customer Portal
• Payments & Invoicing
• Reporting & Analytics
• AI-powered tools
• Third-party integrations

We may add, modify, improve, or discontinue features at any time.

3. Account Registration

You agree to:

• provide accurate information
• keep your login credentials secure
• notify us immediately of unauthorized access
• remain responsible for all activity under your account

You may not share accounts unless your subscription explicitly permits it.

4. Subscription Plans

Certain features require a paid subscription. Subscription fees are billed in advance according to your selected billing cycle.

Unless otherwise stated:

• subscriptions automatically renew
• fees are non-refundable except where required by law
• taxes are additional unless stated otherwise

Failure to pay may result in suspension or termination of your account.

5. Free Trials

Free trials may be offered. At the end of the trial period, your subscription may automatically convert to a paid subscription unless cancelled before the trial expires.

6. Acceptable Use

You agree not to:

• violate any law
• upload malicious code
• interfere with platform security
• reverse engineer the software
• scrape or harvest data
• impersonate another user
• upload unlawful or infringing material
• use the Services to send spam
• overload or disrupt our infrastructure

Violation may result in immediate suspension.

7. Customer Data

You retain ownership of your business information, including:

• customer information
• menus
• recipes
• pricing
• proposals
• contracts
• invoices
• event information
• uploaded documents

You grant NXCatering a limited license to process this information solely for providing the Services.

You are responsible for ensuring you have the legal right to collect and process your customer data.

8. Data Security

We employ commercially reasonable administrative, technical, and physical safeguards to protect customer data. However, no Internet service can guarantee absolute security. You acknowledge that transmission of data over the Internet carries inherent risks.

9. Backups

Although NXCatering performs regular backups, you remain responsible for maintaining copies of critical business records. We recommend exporting important information periodically.

10. AI Features

Some features may utilize artificial intelligence. AI-generated content:

• may contain inaccuracies
• should be reviewed before use
• does not constitute legal, tax, accounting, or professional advice

You remain solely responsible for all decisions made using AI-generated content.

11. Electronic Signatures

Where electronic signature functionality is available, you acknowledge that electronic signatures carry the same legal effect as handwritten signatures to the extent permitted by applicable law.

12. Payment Processing

Payment processing is provided by third-party payment processors. NXCatering does not store full payment card information. Your use of payment services is also subject to the applicable payment processor's terms.

13. Third-Party Services

The Services may integrate with providers such as:

• Stripe
• QuickBooks
• Google
• Microsoft
• Xero
• Zapier
• Delivery providers
• SMS providers
• Email providers

NXCatering is not responsible for outages, errors, pricing changes, or data practices of third-party services.

14. Intellectual Property

The NXCatering platform, software, source code, design, trademarks, graphics, workflows, documentation, and all related intellectual property remain the exclusive property of NXCatering. These Terms do not grant ownership rights.

15. Feedback

Any suggestions or feedback you provide may be used by NXCatering without restriction or compensation.

16. Availability

We strive for reliable service but do not guarantee uninterrupted availability. Maintenance, upgrades, Internet outages, or events beyond our control may temporarily interrupt service.

17. Beta Features

Features labeled as Beta, Preview, Experimental, or Early Access are provided "AS IS" and may change or be discontinued at any time.

18. Suspension

We may suspend access immediately if:

• payments are overdue
• fraudulent activity is suspected
• your account threatens platform security
• you violate these Terms

19. Termination

You may cancel your subscription at any time. Upon termination:

• access to the platform ends
• we may delete stored information after a reasonable retention period
• unpaid balances remain due

20. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NXCATERING DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NXCATERING SHALL NOT BE LIABLE FOR:

• LOST PROFITS
• LOST REVENUE
• LOST BUSINESS
• LOST DATA
• BUSINESS INTERRUPTION
• INDIRECT DAMAGES
• SPECIAL DAMAGES
• CONSEQUENTIAL DAMAGES
• INCIDENTAL DAMAGES
• PUNITIVE DAMAGES

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO NXCATERING DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

22. Indemnification

You agree to defend, indemnify, and hold harmless NXCatering, its officers, employees, affiliates, and partners from any claims arising from:

• your use of the Services
• your customer relationships
• your content
• your violation of these Terms
• your violation of applicable law

23. Compliance

You are responsible for complying with all applicable laws, including those relating to:

• taxes
• food safety
• employment
• consumer protection
• electronic communications
• privacy

NXCatering does not provide legal or tax advice.

24. Force Majeure

NXCatering shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, Internet outages, cyberattacks, labor disputes, governmental actions, utility failures, or acts of God.

25. Changes to These Terms

We may modify these Terms at any time. Updated Terms become effective upon posting. Continued use of the Services constitutes acceptance of the revised Terms.

26. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Broward County, Florida.

27. Severability

If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.

28. Entire Agreement

These Terms constitute the complete agreement between you and NXCatering regarding the Services and supersede all prior agreements.
